Independence War 2 fits the bill pretty nicely. Really fun space simulation game where you trade stolen goods for better parts for your ship (basically). It's kinda like the GTA3 of space.

Homeworld: Cataclysm had a system that leveled up your ships as they killed more enemies. Their physical appearance didn't change but they performed better in combat situations.
